CODE OF CONDUCT

THE LEGAL DEPT. requires its consultants (independent or employed) to perform their works with honesty and integrity, and to comply with all applicable laws. We will not and will refuse to attempt, initiate or do any acts that may, event faintly, be incriminating under the laws, and will not accept any unlawful payment. We also expect that our consultants or employees will not place himself or herself in conflict or competition with the interests of THE LEGAL DEPT. or clients. Should any of our consultants or employees violate these strict principles, disciplinary actions, including termination, will be taken accordingly.

CONFIDENTIALITY

​

THE LEGAL DEPT. and its consultants (independent or employed) will not disclose any “Confidential Information” (as defined below) of clients to any unauthorised person without the prior written consent from clients unless such information is (a) required to be disclosed under any applicable laws, rules, regulations or similar provisions of any regulatory authorities, by government or court order, or compliance of the applicable stock exchange; (b) required to be disclosed to the Client’s authorised representatives or agents such as directors, employees, officers, professional consultants, external legal counsels or auditors on a need to know basis in order to perform the works within the scope of the engagement; (c) already known to or has already been in the lawful possession of the receiving party prior to the time of disclosure; (d) already in the public domain at the time of disclosure, or which comes into the public domain through no fault of the disclosing or receiving party; or (e) developed by the receiving party independently without any use of the confidential information received from the disclosing party.

 

“Confidential Information” shall mean non-public or proprietary information relating to clients and their businesses, including trade secrets, business plans, marketing plans, sales data, financial information, techniques, records, inventions, know-how, processes, specifications and information of current and potential customers, agents and suppliers.

PRIVACY AND DATA PROTECTION

THE LEGAL DEPT. respects and is diligent in protecting the privacy of employees, consultants and clients, and will comply with the Personal Data Protection Act 2010 of Malaysia.

Our consultants (independent or employed) do not act as an advocate and solicitor and provide legal representation. Therefore, the engagement of our services or our consultants does not constitute a direct solicitor-client relationship and the communication of information between clients and THE LEGAL DEPT. or our consultants are not protected under the laws relating to solicitor-client privilege. Our relationship with clients is contractual and our services to clients are provided on an independent contractor basis without the creation of a partnership, agency or joint venture between us and clients unless specifically stated otherwise in writing.
